Story Page Agreement

1. Introduction and Parties

This Agreement establishes the relationship between That Reminds Me and the Story Page Custodian in respect of the creation, administration and stewardship of a Story Page. It defines the respective rights and responsibilities of That Reminds Me, the Story Page Custodian and Contributors, and provides the framework within which Story Pages are preserved and managed through the platform.

For the purposes of this Agreement:

That Reminds Me means the entity operating the That Reminds Me platform, together with its authorised representatives acting within the scope of their responsibilities.

The Story Page Custodian is the individual who enters into this Agreement with That Reminds Me and who accepts responsibility for the administration of a particular Story Page in accordance with this Agreement.

Contributors participate in a Story Page with the authorisation of the Story Page Custodian and in accordance with the provisions of this Agreement. Contributors are not parties to this Agreement.

2. Definitions

For the purposes of this Agreement:

Agreement means this Story Page Agreement, together with any policies or documents expressly incorporated by reference.

Content means any text, photographs, images, audio recordings, video recordings, documents or other material submitted to or displayed on a Story Page.

Contributor means a person authorised by the Story Page Custodian to contribute Content to a Story Page in accordance with this Agreement.

Custodian or Story Page Custodian means the individual who enters into this Agreement with That Reminds Me and who accepts responsibility for the administration of a particular Story Page.

Platform means the digital Platform operated by That Reminds Me through which Story Pages are created, administered and made available.

Story Page means a dedicated digital environment created through the Platform for the preservation and sharing of a particular story or collection of related stories.

That Reminds Me means the legal entity operating the Platform, together with its authorised employees, contractors, agents, service providers and other representatives acting within the scope of their authority in connection with the operation, administration or support of the Platform.

3. Interpretation

Unless the context indicates otherwise:

1. words importing the singular include the plural and vice versa;
2. references to one gender include all genders;
3. headings are included for convenience only and do not affect the interpretation of this Agreement;
4. references to a person include a natural person, juristic person or other legal entity where applicable;
5. a reference to writing or written communication includes electronic communication unless the context requires otherwise.

4. The Story Page

A Story Page is a dedicated digital environment provided by That Reminds Me through which meaningful human stories may be preserved and intentionally shared.

Each Story Page is established as an individual relationship between That Reminds Me and the Story Page Custodian, who is responsible for determining the purpose of the Story Page, authorising contributions to it, and managing access in accordance with this Agreement.

While each Story Page may contain contributions from multiple authorised individuals, That Reminds Me recognises a single Story Page Custodian as its single point of responsibility for the administration of that Story Page.

5. The Story Page Custodian

Each Story Page is administered by a single Story Page Custodian. The Custodian enters into this Agreement with That Reminds Me for the purpose of establishing and administering the Story Page, and is responsible for its ongoing management in accordance with the terms of this Agreement.

5.1 Rights and Responsibilities of the Custodian

The Custodian is responsible for the administration of the Story Page and is entitled, subject to the terms of this Agreement, to determine its purpose, authorise contributions, manage access and communicate instructions to That Reminds Me concerning its ongoing administration.

In administering the Story Page, the Custodian undertakes to exercise these responsibilities honestly, in good faith and in a manner consistent with the purpose for which the Story Page has been established.

The Custodian represents that they possess the authority necessary to establish the Story Page and to provide, or authorise the provision of, any content submitted to That Reminds Me through the Story Page.

The Custodian remains responsible for ensuring that information submitted for inclusion on the Story Page is accurate to the best of their knowledge, that appropriate permissions have been obtained where required, and that contributions authorised by the Custodian comply with this Agreement and any applicable Platform policies.

5.2 Contributors

The Custodian may authorise one or more individuals to contribute content to a Story Page. Such contributions may include written material, photographs, audio recordings, video recordings and other content appropriate to the purpose of the Story Page.

The Custodian is responsible for determining who may contribute to the Story Page and may invite or withdraw contributor access in accordance with the functionality provided by the Platform.

Each Contributor remains responsible for the content they submit and for ensuring that they possess the necessary rights or permissions to make that material available through the Story Page.

The submission of content by a Contributor does not alter the relationship established by this Agreement between That Reminds Me and the Custodian, who remains responsible for the administration of the Story Page.

6. Administration of the Story Page

The administration of a Story Page is intended to be proportionate to its purpose. At launch, administrative functions are deliberately limited, reflecting the Platform’s design as a simple and enduring home for meaningful human stories. Additional administrative functions may be introduced over time in response to the evolving needs of the Platform and its community, provided they remain consistent with the Platform’s foundational purpose.

The Custodian is responsible for the ongoing administration of the Story Page and may exercise the administrative functions as are made available by That Reminds Me from time to time.

For the purpose of administering the Story Page, the Custodian may:

1. update information relating to the Story Page;
2. authorise or remove Contributors;
3. manage access to the Story Page, where such functionality is available;
4. request amendments to the Story Page;
5. request the closure or transfer of the Story Page in accordance with this Agreement.

That Reminds Me may require reasonable administrative procedures to be followed in verifying requests affecting the administration, continuity or security of a Story Page before acting upon them.

6.1 Cooperation in Administration

The Custodian agrees to provide such information and assistance as That Reminds Me may reasonably require for the proper administration of the Story Page.

Where clarification, verification or additional information is reasonably required before acting upon an administrative request, That Reminds Me may defer implementation until that information has been received.

6.2 Changes in Circumstances

The Custodian agrees to notify That Reminds Me as soon as reasonably practicable of any significant change affecting the administration of the Story Page, including where the Custodian is no longer willing or able to continue acting in that capacity.

Where circumstances materially affect the Custodian’s ability to continue administering the Story Page, That Reminds Me may work with the Custodian, or with persons authorised in accordance with this Agreement, to ensure the orderly continuity of stewardship and the continued administration of the Story Page.

7. Intellectual Property and Content Rights

7.1 Ownership of Content

The intellectual property rights in all content submitted to a Story Page remain vested in the person or entity that owns those rights, unless otherwise agreed in writing.

Nothing in this Agreement transfers ownership of copyright or any other intellectual property rights from the owner of that content to That Reminds Me or to the Story Page Custodian.

7.2 Licence to That Reminds Me

By submitting content to a Story Page, or by authorising its submission, the owner of that content grants That Reminds Me a non-exclusive, worldwide, royalty-free licence to store, reproduce, display, transmit and otherwise use that content solely for the purpose of operating, maintaining, preserving and making available the relevant Story Page in accordance with this Agreement.

This licence continues only for so long as is reasonably necessary for the administration and continuity of the Story Page, subject to any applicable legal obligations.

7.3 Authority to Submit

The Custodian and each Contributor warrant that they possess the necessary rights, permissions or authority to submit, or authorise the submission of, any content made available through a Story Page.

Where content includes material belonging to another person, the person submitting that content is responsible for obtaining any permissions required for its lawful use.

7.4 Platform Intellectual Property

All intellectual property relating to the That Reminds Me Platform, including its name, branding, logos, website design, software, documentation and associated materials, remains the property of That Reminds Me or its licensors.

Nothing in this Agreement grants any person ownership of, or any rights in, the intellectual property belonging to That Reminds Me except as expressly provided for in this Agreement.

8. Privacy and Personal Information

8.1 Privacy

The establishment and administration of a Story Page necessarily involves the collection, storage and processing of certain personal information by That Reminds Me.

That Reminds Me undertakes to process personal information in accordance with its Privacy Policy and all applicable data protection legislation.

8.2 Responsibilities of the Custodian

The Custodian undertakes to ensure, to the best of their knowledge, that any personal information submitted to the Story Page has been lawfully obtained and that any necessary permissions or consents required for its inclusion have been obtained where applicable.

Where the Custodian submits personal information relating to another living person, the Custodian warrants that they are entitled to provide that information for the purposes contemplated by this Agreement.

8.3 Responsibilities of That Reminds Me

That Reminds Me will take reasonable technical and organisational measures to protect personal information against unauthorised access, loss, misuse or disclosure.

Nothing in this Agreement shall prevent That Reminds Me from removing or restricting access to personal information where required by law or where reasonably necessary to protect the rights, privacy or safety of any person.

9. Fees and Services

The services offered through That Reminds Me are intended to be proportionate to the Platform’s purpose and stage of development. As the Platform evolves, additional services, features and service tiers may be introduced, refined or discontinued. This section establishes the principles governing the provision of services and any associated fees, recognising that the commercial offering may develop over time while remaining consistent with the Platform’s foundational purpose.

9.1 Service Offerings

That Reminds Me may make available different categories of Story Pages and associated services from time to time.

The features, functionality and services applicable to each category shall be described in the information published by That Reminds Me at the time the Story Page is established.

9.2 Fees

The Custodian agrees to pay the fees applicable to the selected service offering. Such fees may include once-off charges, recurring charges, or a combination of both, depending upon the nature of service selected.

9.3 Changes to Service Offerings

That Reminds Me may introduce new service offerings, discontinue existing offerings, or modify the features associated with any service offering from time to time.

Where such changes materially affect an existing Story Page, reasonable notice shall be provided to the Custodian.

9.4 Upgrades and Downgrades

Subject to the terms applicable to the relevant service offering, the Custodian may request that a Story Page be upgraded or downgraded to another available service.

Any adjustment to applicable fees or services shall take effect in accordance with the terms published by That Reminds Me at the time of the change.

9.5 Commercial Continuity

That Reminds Me may develop and refine its service offerings and pricing structures from time to time in order to support the sustainable operation and continued development of the Platform, provided such changes remain consistent with the Platform’s foundational purpose.

Existing Story Pages may be upgraded, downgraded or migrated to another available service offering only by agreement with the Custodian and in accordance with the terms governing that service offering.

10. Suspension, Closure and Continuity

That Reminds Me is committed to supporting the continuity of each Story Page through responsible stewardship. While the Platform is designed to preserve stories for the long term, no digital service can responsibly guarantee permanent availability. This section explains the principles that apply where exceptional circumstances require the suspension, closure or transition of a Story Page, while seeking to protect continuity and respecting the interests of Custodians, Contributors and the integrity of the stories entrusted to the Platform.

10.1 Suspension

That Reminds Me may temporarily suspend access to, or the functionality of, a Story Page where suspension is reasonably necessary to:

1. investigate or address an alleged breach of this Agreement;
2. protect the security, integrity or operation of the Platform;
3. comply with applicable law or a lawful request from a competent authority;
4. address content that appears to be unlawful or presents a material risk of harm; or
5. undertake essential maintenance or technical work affecting the Platform.

10.2 Notice of Suspension

Where reasonably practicable, That Reminds Me shall notify the Story Page Custodian of the reasons for the suspension and, where appropriate, the steps required to restore normal access or functionality. That Reminds Me shall use reasonable efforts to restore access as soon as the circumstances giving rise to the suspension have been resolved.

10.3 Closure

A Story Page may be closed:

1. at the request of the Story Page Custodian;
2. by agreement between That Reminds Me and the Story Page Custodian;
3. where continuation of the Story Page would require That Reminds Me to act unlawfully;
4. where a material breach of this Agreement remains unremedied after reasonable notice and opportunity to remedy, where such an opportunity is reasonably practicable; or
5. where continuation of the Story Page can no longer reasonably be supported by That Reminds Me.

10.4 Continuity

That Reminds Me recognises that the significance of a Story Page may extend beyond the period during which it is administered by a particular Story Page Custodian. Story Page Custodians are therefore encouraged to make appropriate arrangements for the continued stewardship of their Story Pages should they become unwilling or unable to continue in that role. Where circumstances affect the Custodian’s ability to continue administering a Story Page, That Reminds Me shall, where reasonably practicable, seek to preserve the continuity of the Story Page in accordance with this Agreement.

10.5 Appointment of a Successor Custodian

A Story Page Custodian may nominate a successor to assume responsibility for the administration of the Story Page should the need arise. Any such nomination shall not take effect automatically but shall be subject to acceptance by the nominated person and recognition by That Reminds Me in accordance with this Agreement.

10.6 Death or Incapacity

Where the Story Page Custodian dies or becomes incapable of administering the Story Page, That Reminds Me may, where reasonably practicable and appropriate, work with persons having a legitimate connection to the Story Page to establish appropriate arrangements for its continued stewardship, having regard to any directions previously given by the Custodian and the interests of Contributors and other affected persons.

10.7 Continuity Does Not Guarantee Permanence

Nothing in this Agreement shall be interpreted as guaranteeing the permanent availability of any Story Page. The objective of this section is to promote responsible continuity wherever reasonably practicable, recognising that circumstances beyond the control of That Reminds Me may prevent the indefinite preservation of digital content.

11. General Provisions

11.1 Amendments to this Agreement

That Reminds Me may amend this Agreement from time to time in order to reflect changes in applicable law, the operation or development of the Platform, or its service offerings. Any amendment shall apply prospectively from the date specified by That Reminds Me and shall not affect rights or obligations that have already accrued under this Agreement unless otherwise agreed with the Story Page Custodian or required by law.

11.2 Notices

The Story Page Custodian shall ensure that the contact details provided to That Reminds Me remain accurate and up to date. Any notice or communication required under this Agreement may be given electronically using the contact details provided by the Story Page Custodian or published through the Platform where appropriate.

11.3 Assignment and Transfer

The Story Page Custodian may not assign or transfer this Agreement except as expressly provided in this Agreement. That Reminds Me may transfer its rights and obligations under this Agreement as part of a bona fide sale, restructuring or transfer of the Platform or its operations, provided that such transfer does not materially diminish the rights of Story Page Custodians under this Agreement.

11.4 Entire Agreement

This Agreement, together with any policies expressly incorporated by reference, constitutes the entire agreement between That Reminds Me and the Story Page Custodian concerning the administration of the Story Page and supersedes any prior discussions or understandings relating to that subject matter.

11.5 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.

11.6 Waiver

A failure or delay by either party in exercising any right under this Agreement shall not constitute a waiver of that right.

11.7 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with this Agreement, except where applicable law requires that proceedings may be brought in another jurisdiction.
